Nothing on the MergeAxis platform constitutes legal advice. Standard legal templates provided on the Platform are for reference only and must be reviewed by qualified legal counsel before use. MergeAxis is not a law firm and does not engage in the practice of law.
3. Not a Valuation Expert
Any indicative valuation ranges, EBITDA multiples, or transaction size estimates referenced on the Platform are illustrative only and do not constitute a formal valuation opinion. Formal valuations must be conducted by a registered Valuer under the Companies Act, 2013.
4. No Verification of Deal Information
MergeAxis does not independently verify, audit, or warrant the accuracy, completeness, or reliability of any financial information submitted by Professional Partners or deal principals. Buyers must conduct their own independent due diligence. MergeAxis accepts no liability for any loss arising from reliance on unverified information.
5. No Guarantee of Transaction Completion
Listing a mandate on the Deal Board, submitting an Expression of Interest, or executing an NDA does not guarantee that any transaction will be completed. All transactions are subject to commercial negotiation, due diligence, regulatory approvals, and independent decision-making of all parties.
6. Tax and Regulatory Responsibility
Users are solely responsible for understanding and complying with all tax obligations, regulatory requirements, exchange control regulations, corporate law obligations, and professional ethics rules. MergeAxis does not provide tax advice. Users should seek advice from qualified CA / tax advisers.
7. Past Performance
Any references to deal volumes, transaction sizes, or market data on the Platform are for informational purposes only and do not constitute a representation of future results or platform performance.
8. Force Majeure
MergeAxis shall not be liable for any failure or delay in performing its obligations arising from causes beyond its reasonable control, including acts of God, government orders, pandemics, cyber-attacks by third parties, internet infrastructure failures, or natural disasters.
9. Entire Agreement
This document set comprising all legal agreements constitutes the complete legal framework governing the relationship between MergeAxis and all users. These agreements collectively supersede all prior representations, negotiations, and understandings.
