1. Acceptance of Terms

By accessing, browsing, or using the MergeAxis website at mergeaxis.in (the “Website”) in any manner, you acknowledge that you have read, understood, and agree to be bound by these Website Terms of Use (“Terms”) and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and MergeAxis Private Limited (“MergeAxis”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013, with its registered office in India. If you do not agree to these Terms, you must immediately cease using the Website.

2. Nature of the Platform

MergeAxis is a technology-enabled intermediary marketplace. MergeAxis:

  • Does NOT provide investment advice, M&A advisory, legal counsel, tax advice, or financial planning services
  • Does NOT act as a stockbroker, investment adviser, or portfolio manager as defined under SEBI regulations
  • Does NOT hold, transfer, or manage client funds at any point
  • Acts ONLY as a technology platform and neutral intermediary to facilitate introductions between verified Professional Partners and deal principals
  • All advisory, tax structuring, legal, and deal execution services are provided exclusively by independent registered Professional Partners

3. Eligibility

The Website is intended for professional use. By using this Website, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts; you are accessing the Website for lawful, professional purposes; you are not under any regulatory prohibition, debarment, or disqualification that would prevent you from accessing M&A-related information or services; you are not a competitor seeking to use the Website for competitive intelligence or reverse-engineering of business processes.

4. Permitted and Prohibited Use

4.1 Permitted Use

  • Browse anonymised deal listings on the Deal Board
  • Register as a buyer, seller, or Professional Partner
  • Submit expressions of interest
  • Access resources, articles, and information published on the platform

4.2 Prohibited Use

  • Attempt to identify, de-anonymise, or discover the identity of any seller, buyer, or company listed on the Deal Board
  • Use any automated tool, scraper, bot, or spider to extract data from the Website
  • Attempt to gain unauthorised access to any part of the platform or partner-only sections
  • Share login credentials or allow others to use your account
  • Submit false, misleading, or fraudulent information during registration or deal submission
  • Circumvent, bypass, or reverse-engineer any security or authentication mechanism
  • Use the platform to facilitate any transaction or contact outside the MergeAxis platform in violation of the applicable Partner Agreement or Platform Terms
  • Post, transmit, or share any defamatory, obscene, illegal, or harmful content
  • Use the Website or any deal information obtained through it for any purpose other than genuine M&A activity

5. Intellectual Property

All content on the Website, including text, design, graphics, logos, icons, software, databases, and the MergeAxis brand including the tagline ‘The M&A Network’, is the exclusive property of MergeAxis Private Limited or its content licensors. No content may be reproduced, distributed, modified, publicly displayed, or used for any commercial purpose without the prior written consent of MergeAxis.

6. Confidentiality of Deal Information

All information displayed on the Deal Board is anonymised. Strictly:

  • Company names are NEVER displayed — only sector and broad geographic region
  • Promoter or owner identity is NEVER revealed without explicit consent and completion of the NDA process
  • Exact financial figures are NEVER shown publicly
  • Buyer and seller contact details are NEVER exchanged until a mutually signed NDA is in place

Any user who attempts to circumvent these confidentiality protections, or who uses information obtained from the platform to contact a party directly without MergeAxis's facilitation, will be immediately suspended and may face legal action for breach of contract and misuse of confidential information.

7. Disclaimers and Limitation of Liability

The Website and all content thereon are provided on an ‘as is’ and ‘as available’ basis without warranty of any kind, express or implied. MergeAxis does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components; that any deal information is accurate, complete, or verified (all listings are submitted by Professional Partners; MergeAxis does not independently verify financial data); or that any deal will close or that any counterparty is genuine, creditworthy, or capable of completing a transaction. To the fullest extent permitted by applicable law, MergeAxis's aggregate liability to any user arising out of or in connection with these Terms or the use of the Website shall not exceed Rs. 10,000 (Rupees Ten Thousand only). MergeAxis shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profits, revenue, goodwill, or data.

8. Third-Party Links and Services

The Website may contain links to third-party websites or services. MergeAxis does not endorse, control, or assume responsibility for the content, privacy practices, or operations of any third-party website. Access to third-party websites is entirely at your own risk.

9. Amendments

MergeAxis reserves the right to modify these Terms at any time. Updated Terms will be posted on the Website with a revised effective date. Continued use of the Website after the posting of revised Terms constitutes your acceptance of the changes.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising under these Terms shall be first attempted to be resolved by mutual negotiation within 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual consent. The seat and venue of arbitration shall be Gurugram, India. Courts in Gurugram shall have exclusive jurisdiction.
